These Terms and Conditions ("Terms") govern your use of any product, service, application, or website operated by Ivy Innovation (Pty) Ltd ("Ivy", "we", "us", or "our"), registered in South Africa.

By accessing or using any of our services you agree to be bound by these Terms. If you do not agree, please do not use our services.

  • User ("you", "your") refers to the individual or entity accessing or using the Service.

You may use our services only in compliance with these Terms and all applicable laws. You agree not to:

3. Accounts

4. Subscriptions and Payments

Certain services are offered on a subscription basis. When you subscribe:

  • You authorise us to charge the applicable fees through our payment processor (currently our payment processor).
  • Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • Prices are listed in US Dollars unless otherwise stated, and are inclusive of applicable taxes where required.
  • We reserve the right to change pricing with reasonable notice. Price changes take effect at the start of your next billing period.

5. Intellectual Property

The Service, including its design, code, graphics, and documentation, is the intellectual property of Ivy Innovation (Pty) Ltd and is protected by copyright, trademark, and other applicable laws.

You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a limited licence to store, process, and display it as necessary to operate the Service.

6. API and SDK Usage

Where we provide APIs or SDKs, your use is subject to any additional terms, rate limits, and usage policies specified in the relevant documentation. We may suspend API access if usage patterns are abusive or exceed the limits of your plan.

7. Availability and Modifications

We aim to provide reliable services but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

8. Limitation of Liability

To the maximum extent permitted by South African law, Ivy Innovation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid to us in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Ivy Innovation, its officers, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the courts of South Africa.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
